Pauline Mwandura
Pauline is an astute transactional attorney currently serving as a Partner at Wintertons. She is passionate about foreign direct investment (FDI), Mergers and Acquisitions, Mining, Energy Infrastructure and Natural Resources, Environment, Social and Governance (ESG), Tax and Insolvency. She is assigned to the Corporate and Commercial as well as the Energy, Infrastructure and Natural Resources department. She is also responsible for talent acquisition and training for young lawyers within the firm.
Pauline has advised clients on cross-border transactions in both greenfields and brownfields investments. Her experience covers due diligence, regulatory advice and representation before the various regulatory authorities, tax structuring and advisory, negotiations, review of transaction documents, general commercial advice, closure, post closure advisory as well as exit. She has handled substantial legal mandates on behalf of international firms and corporates on lithium and gold mining as well as energy and infrastructure projects in Zimbabwe. She advises and facilitates institutional growth of her local clients through investing and setting up in other jurisdictions.
Apart from transactional work, Pauline is an avid commercial litigator. She has handled complex commercial matters involving contractual disputes, shareholder disputes, mining disputes, asset and debt recovery, employment, property and administrative disputes. Her satisfaction lies in providing efficient, effective, and value-based solutions in all aspects of a business. With a broad understanding of business aspects, excellent advocacy, and negotiation skills, she has established a successful civil and commercial litigation practice in the High Court, Labour Court of Zimbabwe, and the Supreme Court of Zimbabwe. She also represents clients in arbitration matters.
Pauline provides practical tax solutions to companies and other business entities on tax structuring, planning and compliance. In addition, she provides due diligence services relating to an entity’s tax obligations and compliance.
Her practice in corporate and commercial law extends to insolvency and restructuring. She provides legal advice on Insolvency processes such as Corporate Rescue, Liquidation and Schemes of Arrangement. She is pursuing further studies towards registration as an Insolvency Practitioner with the Estate Administration Council of Zimbabwe.
Pauline also contributes to thought leadership through journals. She has authored various publications at a national and international level covering Foreign Direct Investment in Africa, Mining, ESG, Insolvency and restructuring as well as regulatory and compliance.
