
Pauline Mwandura
Pauline has 9 years experience as a legal practitioner and she practices as a Partner at Wintertons Legal Practitioners. She joined the firm on 1 June 2018 as an Associate and was admitted into partnership on 1 July 2023. She is a passionate corporate and commercial lawyer who, in addition to being a member of the Commercial Law Department, is also assigned to the Energy, Infrastructure and Natural Resources Department.
She has acquired experience in the various facets of commercial law, and has provided legal advice on transaction structuring, tax implications of commercial transactions, and in labour and employment law. She is adept at drafting various commercial contracts, including joint venture agreements, share purchase and subscription agreements, shareholders’ agreements, agreements relating to the disposal of major assets, purchase and supply agreements and debt restructuring agreements. Pauline has also acquired considerable experience in conducting due diligence exercises.
In the field of tax law, Pauline provides practical tax solutions to companies and other business entities on tax structuring, planning and compliance. In addition, she provides due diligence services relating to an entity’s tax obligations and compliance.
Her practice in corporate and commercial law extends to insolvency and restructuring. She has authored articles for the International Comparative Legal Guides, an international publication, on Insolvency and Restructuring in Zimbabwe. In addition, she provides legal advice on Insolvency processes such as Corporate Rescue, Liquidation and Schemes of Arrangement. She is pursuing further studies towards registration as an Insolvency Practitioner with the Estate Administration Council of Zimbabwe.
Pauline is an avid litigator. She has handled complex commercial matters involving contractual disputes, shareholder disputes, mining disputes, asset and debt recovery, employment, and property disputes. Her satisfaction lies in providing efficient, effective, and value-based solutions in all aspects of a business. With a broad understanding of business aspects, and excellent advocacy and negotiation skills, she has established a successful civil and commercial litigation practice in the High Court, Labour Court of Zimbabwe, and the Supreme Court of Zimbabwe. She also represents clients in arbitration matters.
In the Energy, Infrastructure and Natural Resources department, Pauline has rendered legal assistance to a considerable number of international firms and corporate bodies on acquisition of mining rights in Zimbabwe, Strategic Partnerships, Joint Venture business, general investment advisory, and legal representation.
Apart from corporate advisory, and litigation Pauline is also a key member of the family law departments where she represents clients in maintenance, custody, guardianship and divorce cases.
She sits on boards both in the corporate and non-governmental organization sectors.
